General Terms and Conditions for Testorro Partners

The company Dioptex GmbH, Urbanskistraße 2, 4040 Linz, Austria, registered in the Austrian commercial register under the company register number 238384s (“Dioptex GmbH”) offers owners of a Testorro NFT the opportunity to register for free as a Testorro partner with their Testorro NFT. A Testorro NFT is an element of the Testorro NFT Collection on the Polygon Blockchain Network with the contract address 0xC0f54e71a3a5935c5AcA7abD499 4F18911fcD4A9 and a consecutive token ID between 0001 and 9999. This means that the number of Testorro NFTs is limited to 9999 pieces. By registering, a Testorro partner is given the opportunity to broker the sale of the Testorro drink as an independent contractor on their own account. For each completed sale of Testorro that the Testorro partner has brokered, they will receive a commission payment. The Testorro NFT becomes a brokerage license through registration as a Testorro partner. Each Testorro NFT is assigned a unique order code when registering as a Testorro partner. The Testorro partner passes this order code on to the customer when brokering the sale, enabling the customer to order the drink at a reduced price at www.testorro.com. The commission payment is then made in the form of the POL cryptocurrency of the Polygon network to the crypto wallet in which the Testorro NFT of the Testorro partner is located or to the bank account provided by the Testorro Partner.

1. Testorro

Testorro is an internationally patented beverage made from high-quality, organic black tea and contains the active ingredient Fortidin. Fortidin can increase testosterone in men via the sense of smell and taste in a natural way, i.e. without the supply of testosterone from outside. Fortidin consists of a very specific composition of short-chain fatty acids. These short-chain fatty acids occur naturally in food and in the human body and are approved in the EU for use in food (beverages). Testosterone is the male sex hormone and fulfills important tasks in men, such as building muscle mass, reducing fatty tissue, producing sperm, potency, masculinity, endurance, strength, natural EPO production, etc.

2. Business model

To distribute Testorro, Dioptex GmbH uses a new distribution technology that is currently being patented and is intended to enable the self-organization of international distribution using a blockchain and a corresponding NFT. See video:

The Testorro NFT was developed by Dioptex GmbH and is available for purchase on the NFT trading platform Rarible. Testorro NFTs are unique digital elements that enable a new concept of connection between the virtual world and the real world. By purchasing a Testorro NFT, the buyer acquires a unique copy of a limited NFT collection that represents a new generation of NFTs. A Testorro NFT can also be a unique Web 2.0 representation of a digital artwork created by an active artist. A Testorro NFT is an element of the Testorro NFT Collection in the Polygon Blockchain Network with the contract address 0xC0f54e71a3a5935c5AcA7abD4994F18911fcD4A9 and a sequential token ID between 0001 and 9999. The number of possible Testorro NFTs is therefore limited to a maximum of 9999.

Testorro GmbH offers owners of a Testorro NFT the opportunity to register free of charge as a Testorro Partner with their Testorro NFT at DIOPTEX GmbH. Testorro Partners have the right to broker the sale of Testorro to Testorro customers. Ideally, Testorro Partners explain the benefits of Testorro to their Testorro customers. Testorro Partners provide customers with an order code that they can use to order the drink (goods) at a reduced price at www.testorro.com. The order code is uniquely linked to the token ID of the Testorro Partner’s Testorro NFT. The Testorro NFT is located in the Testorro Partner’s crypto wallet, to which it was transferred when the Testorro NFT was purchased on Rarible. If a Testorro customer orders the drink using the order code, the patent-pending system determines which crypto wallet contains the corresponding Testorro NFT. This is the wallet address provided by the Testorro Partner during registration. The commission for the completed sale of Testorro is transferred to this crypto wallet in the form of the POL cryptocurrency of the Polygon network or, if the Testorro partner prefers, to a bank account of the Testorro partner. As soon as the digital euro is available, the commission can also be transferred directly to the corresponding ECB wallet of the Testorro partner.

The Testorro NFT represents a brokerage license for Testorro partners. For the owner of a Testorro NFT who is not registered as a Testorro partner, the Testorro NFT is a unique digital work. As a Testorro partner, they have the opportunity to broker the sale of Testorro as an independent entrepreneur on their own account. They do this by informing customers about the Testorro drink and providing them with the order code. No investment in a warehouse or sales premises is necessary, and there are no requirements on the part of Testorro GmbH regarding sales targets or how the Testorro Partner should conduct or organize their referral activities and business operations. They are completely free to make their own decisions and act within the legal framework of their country. The customer orders the drink online using the order code. With the order code, the customer receives a discount on the regular retail price. The Testorro Partner receives a commission from Testorro for every sale made using their order code. The advantage of executing the referral license as an NFT is that the NFT is freely tradable on platforms such as OpenSea or Rarible. This would give a successful Testorro Partner with many regular customers who regularly purchase Testorro using their order code the opportunity to sell the Testorro NFT on a secondary market on these platforms at a price that is at least equal to the NFT value based on the customer base and the resulting regular income. The value of a Testorro NFT can therefore be increased by a successful Testorro partner with the value of their commission payments. After purchasing the Testorro NFT on a secondary market, the successor must also register with Testorro as a Testorro partner using the Testorro NFT. If the owner of such a charged Testorro NFT transfers it to a successor, either for a fee or free of charge, by transferring the Testorro NFT to the successor’s crypto wallet, the successor can receive passive income from owning the Testorro NFT based on the regular customers who continue to place orders using the order code assigned to the Testorro NFT. The successful Testorro Partner can therefore not only earn the ongoing commission payments, but also “sell” the regular customers to someone else, so to speak, by transferring the Testorro NFT to their crypto wallet. An active and successful Testorro Partner can therefore see a significant increase in the value of their Testorro NFT, which they can realize when selling their Testorro NFT to a successor. This structure essentially enables the self-organization of Testorro’s international sales by Testorro Partners. Testorro partners hold both their individual business success and the success of the entire project in their own hands and can determine this through their own activities. If the majority of Testorro partners are successful in their referral or promotional activities, the overall project will also be successful. DIOPTEX GmbH only ensures the production of the Testorro beverage and provides the technical infrastructure. The remaining business activities, in particular marketing and sales, are carried out almost exclusively by the Testorro partners as independent entrepreneurs. Due to the limitation of Testorro NFT to 9999 copies, the number of Testorro partners worldwide is also limited to 9999, which should create a positive environment for Testorro partners in terms of sales growth as the company expands globally. Ultimately, it is their responsibility what they make of it.

3 . Purchase a Testorro NFT

With the Testorro NFT, Dioptex GmbH has created the first NFT that, in addition to its existence as a unique digital work, can also map real-world economic processes as needed. In addition to the usual “collector’s value” of NFTs, Testorro NFTs offer the possibility of mapping real economic processes for the first time. Testorro NFTs can be purchased easily on OpenSea or Rarible from anywhere in the world. They are not regionally limited because they can be paid for easily across all borders using cryptocurrency (Polygon, POL).

4 . T e s t o r r o P a r t n e r

Owners of a Testorro NFT have the option of registering as a Testorro Partner with Dioptex GmbH free of charge using their Testorro NFT. A registration form is available at www.testorro.com. Testorro Partners can be natural or legal persons. The Testorro NFT represents a blockchain-based license for a Testorro Partner to broker sales of Testorro as an independent entrepreneur and on their own account in return for commission payments. For the legal transfer of a commission to a Testorro Partner, Austrian law requires that the following data be transmitted to Testorro GmbH prior to the first commission payment: Name and address, and, if available and if the Testorro Partner is based within the EU (entrepreneur), the VAT number. If the Testorro Partner is based outside the EU or is based within the EU but does not have a VAT number (small business), the name and address are sufficient for the proper transfer of the commission. If the commission is to be transferred to a bank account instead of a cryptocurrency wallet, bank details must be provided. The Testorro Partner is also obliged to provide Dioptex GmbH with an email address that can be used for quick communication with the Testorro Partner. After successful registration, the Testorro Partner will receive an order code via this email address that is uniquely linked to their Testorro NFT. They must also provide the TokenID of the NFT and the address of the crypto wallet in which the NFT is located. This information is verified by the system in the background. If this information changes over time, the Testorro Partner is obliged to notify Dioptex GmbH of this change. If a sale of Testorro to a customer takes place using an order code without the associated Testorro Partner having provided at least the name and address of Dioptex GmbH, the commission cannot be paid out for tax reasons. A subsequent payment of the commission for such a business transaction, if at least the name and address of the Testorro Partner are provided at a later date, must be examined on a case-by-case basis and cannot be guaranteed. The license to broker sales of Testorro is transferable and tradable as a Testorro NFT from one Testorro Partner to a successor. This is preferably done by transferring the Testorro NFT from the Testorro partner’s crypto wallet to the successor’s crypto wallet. To do this, the Testorro partner offers their Testorro NFT for sale to a successor on a suitable platform such as OpenSea or Rarible, specifying a sale price. The sale price of the NFT will be based on the current demand for Testorro NFTs and the commission revenues generated with the order code assigned to the Testorro NFT. It goes without saying that the more advanced and successful the Testorro project is and the more successful the Testorro partner is in its brokerage activities, the higher the sale price will be. The Testorro partner who sold the NFT then loses the rights established by the Testorro NFT. These are transferred to the successor, i.e., the new owner of the Testorro NFT, as the new Testorro partner. In order to receive commissions as a Testorro partner, the successor must also register with Dioptex GmbH with their Testorro NFT. The order code remains the same and will be sent to the new Testorro Partner (successor) by email after registration.

5 . Distribution area ( = geographical distribution area)

5.1 Testorro GmbH allows the Testorro Partner to broker the sale of the innovative, internationally patented and internationally trademarked beverage Testorro to customers within the entire current sales territory. Starting from the initial sales territory, which comprises Austria and Germany and then the countries of the EU, further countries or regions should be added to the sales territory over time. A global distribution structure is planned in principle. The current geographical distribution area comprises those countries and regions of the world in which Testorro can currently be sold by Dioptex GmbH. The current list of these countries and regions is available on the website www.testorro.com.

5.2 Although the activities of a Testorro Partner are focused on brokering the sale of Testorro in the current sales territory, the location of the active Testorro Partner does not necessarily have to be in the current geographical sales territory, as its brokerage activities do not have to be carried out directly in person, but can also be carried out indirectly, e.g. via the Internet or social media in the current geographical sales area from its location outside the current geographical sales area.

6. Tasks, rights, and obligations of Dioptex GmbH

6.1 Dioptex GmbH guarantees the Testorro Partner that it will comply with all legal provisions applicable in the current sales territory regarding the quality, labeling, and packaging of Testorro.

6.2 Dioptex GmbH shall support the Testorro Partner in the performance of its activities to the best of its ability. In particular, it shall make all necessary documents and information, including price changes, available free of charge on the website www.testorro.com.

6.3 Dioptex GmbH shall inform the active Testorro Partner immediately (preferably by email), but no later than within 7 calendar days, of every sale of Testorro to a Testorro customer for which the unique order code of the Testorro Partner has been used. A sale is considered completed when the goods have been paid for in full by the customer and the customer’s right of return has not been exercised within the statutory period.

6.4 Dioptex GmbH shall inform the Testorro Partner as soon as possible, preferably via a notice on the website www.testorro.com, if and as soon as it becomes foreseeable that it will not be able to carry out the transactions due to unforeseeable or uncontrollable events, or only to a significantly lesser extent than the Testorro Partner could have expected based on the previous scope of business. This notification shall also include, if possible, the expected duration of this restriction and the sales area affected. Dioptex GmbH shall not be liable to a Testorro Partner or any other party for any such restriction of business or for any compensation of any kind. However, Dioptex GmbH shall endeavor, in its own interest, to remedy or end such a situation as quickly as possible.

6.5 Testorro is a beverage made from organic black tea and the additive Fortidin in a concentration of 0.08%. Dioptex GmbH reserves the right to change the beverage base (black tea) and the concentrations of the additive depending on future market requirements.

6.6 The place of performance for the partnership activities is the registered office of Dioptex GmbH.

7. Tasks, rights, and obligations of the Testorro partner

7.1 Testorro Partners have the right, as independent contractors acting on their own behalf and at their own risk, to engage in brokerage activities for the sale of Testorro and to receive commission payments for this. In their brokerage activities, Testorro Partners are obliged to act with the diligence of a prudent businessman in order to protect the interests of Dioptex GmbH.

7.2 In their agency activities, Testorro Partners are also obliged to accurately present and communicate the product (Testorro) to Testorro customers with regard to its properties and use. Testorro Partners shall refrain from making any claims regarding the properties or use or application of Testorro that go beyond those stated on the official website www.testorro.com. The Testorro Partner shall be liable for any consequences arising from incorrect information provided by them and undertakes to indemnify Dioptex GmbH for all claims arising therefrom.

7.3 The Testorro Partner is entitled to transfer the agency license in the form of the Testorro NFT to another natural or legal person, either for a fee or free of charge. This person then becomes the owner of the respective Testorro NFT and can perform the function of Testorro Partner after registering accordingly. The new owner of the Testorro NFT must register as a Testorro Partner with their Testorro NFT if they wish to act as a Testorro Partner in the future and receive commission payments for this. This should preferably be done using the appropriate form on the website www.testorro.com, where the serial number of the Testorro NFT (e.g. Testorro NFT number 1234), the new wallet address where the Testorro NFT is now located, the name and address of the new owner, their email address and, if applicable, the UID numbers or bank details to which the commission payments are to be made. Dioptex GmbH will then check whether the Testorro NFT has actually been transferred to another crypto wallet and, if so, whether the information provided regarding the Testorro NFT, ID, and crypto wallet, etc. is correct before the new owner can be registered as a Testorro partner with Dioptex GmbH and be entitled to receive commissions. If the information provided is incorrect, the person will be informed via the email address provided and asked to resubmit the data correctly, provided that the Testorro NFT has actually been transferred to another crypto wallet. Commissions to Testorro Partners will be transferred to the cryptocurrency wallet in the cryptocurrency POL in which the corresponding Testorro NFT is located or to the bank account specified by the Testorro Partner. The new owner of the Testorro NFT thus replaces the previous owner of the Testorro NFT as a Testorro Partner. This means that when the Testorro NFT is sold, the active customer base is also transferred to the new owner of the Testorro NFT. Any tax consequences arising from the profit of such a sale of a Testorro NFT to a successor must be checked by the seller (Testorro Partner) and the buyer (successor) themselves in accordance with their local tax laws, as this is a transaction exclusively between these two parties and Dioptex GmbH is not involved. Therefore, Dioptex GmbH accepts no liability for any consequences arising from such a transaction.

7.4 A Testorro NFT owner who does not wish to act as a Testorro Partner or receive commission payments, but only wishes to own the NFT as a hobby or for investment purposes, is not required to prove their ownership to Dioptex GmbH. They may decide at any time to become a Testorro Partner or to offer the Testorro NFT for sale on a secondary market and sell it.

7.5 The Testorro Partner is entitled to use suitable persons in the performance of their activities as an agent. In doing so, they are obliged to bind these persons to their obligations. The Testorro Partner is responsible for the actions of these persons as if they had carried them out themselves. They assume the legal consequences of any misconduct on the part of these persons and indemnify Dioptex GmbH against any financial consequences of such misconduct.

7.6 The Testorro Partner is solely responsible for complying with all laws and regulations of their country that apply to their brokerage activities, regardless of their nature. In particular, they must observe and comply with the commercial and tax regulations and laws of their country that are relevant to their brokerage activities. Dioptex GmbH accepts no liability if the Testorro Partner fails to comply with the laws and regulations of their country in relation to their brokerage activities as a Testorro Partner.

8 . C u s t o m e r b a s e

8.1 All sales concluded by Testorro to customers who have entered a specific valid order code when placing their order on the website www.testorro.com shall result in a corresponding commission payment to the crypto wallet of the Testorro Partner in which the Testorro NFT is located and to which the order code used is uniquely linked. Alternatively, this payment may also be made to the bank account specified by the Testorro Partner. All customers who purchase Testorro using this order code form the customer base of this Testorro partner. Customers who place repeat orders using the same order code are considered regular customers. When a Testorro NFT is sold to a successor, the customer base is also transferred, which is important for determining the sale price of the Testorro NFT, as the successor can generate passive income as a result.

9. L i a b i l i t y

9.1 The amount of revenue generated by sales of Testorro through the Testorro Partner’s referral, and thus the amount of commission payments received by the Testorro Partner, depends on the referral activity of the Testorro Partner. Dioptex GmbH does not impose any minimum sales or sales targets on the Testorro Partner that must be achieved through the Testorro Partner’s mediation. Dioptex GmbH therefore accepts no responsibility or liability if the Testorro Partner does not achieve certain sales targets that it may have set itself or if the sales directly dependent on these targets through commission payments do not meet the Testorro Partner’s expectations.

9.2 Should circumstances arise that temporarily or permanently prevent or render impossible the sale of Testorro in parts of the current sales territory or in the entire current sales territory for technical, regulatory, economic, or other reasons, Dioptex GmbH shall not be liable for this and shall not compensate the Testorro Partner for any commissions that may be lost as a result. However, Dioptex GmbH shall endeavor, in its own interest and to the best of its ability, to end this situation as quickly as possible.

9.3 Should circumstances arise that temporarily or permanently hinder or prevent the sale or trade of Testorro NFT for technical, regulatory, economic or other reasons, Dioptex GmbH shall not be liable for this and shall not be required to compensate for any financial losses or disadvantages incurred as a result. However, Dioptex GmbH will endeavor, in its own interest, to end this situation as quickly as possible, insofar as this is within its power.

9.4 The Testorro Partner is solely responsible for ensuring that they observe and comply with all laws and regulations of their country that are relevant to their brokerage activities, regardless of their nature. In particular, they must observe and comply with the commercial and tax laws and regulations of their country. Dioptex GmbH accepts no liability for legal, financial, or other consequences arising from omissions or misconduct on the part of the Testorro Partner with regard to compliance with the laws, regulations, or rules applicable to its brokerage activities in its country (location of the brokerage activity).

9.5 Although scientific studies show that the use of the active ingredient Fortidin, which is used in Testorro, statistically leads to an increase in testosterone in men, Dioptex GmbH does not guarantee that this will actually happen. In particular, Dioptex GmbH accepts no liability and will not reimburse any costs if the consumption of Testorro does not lead to an increase in testosterone in consumers of the drink.

9.6. The purchase of a Testorro NFT on a platform such as OpenSea or Rarible is a transaction outside the sphere of influence of Dioptex GmbH. Dioptex GmbH therefore accepts no liability for any restrictions on such platforms.

9.7. Testorro GmbH reserves the right to change the General Terms and Conditions for Testorro Partners.

10. Reimbursement

10.1 The Testorro Partner is not entitled to reimbursement of expenses or costs incurred by Dioptex GmbH in the course of their activities. The Testorro Partner is an independent entrepreneur and acts on their own account and at their own risk.

11. Commission

11.1 The Testorro Partner shall receive from Dioptex GmbH a commission of 20% for all sales of Testorro to customers via the website www.testorro.com using the order code assigned to the Testorro NFT of the Testorro Partner and which have been legally processed, in words: twenty percent of the net order value (excluding sales tax) provided that the Testorro Partner does not have its registered office in Austria or has its registered office in Austria but does not have a VAT number. If the Testorro Partner has its place of business in Austria and has a VAT number, it shall receive the commission in the above-mentioned amount of the net order value, plus the sales tax (value added tax) applicable at the place of business of Dioptex GmbH. If the registered office of Dioptex GmbH changes during the term of the contract, the procedure for calculating the commission to be transferred for tax purposes will be adjusted in accordance with the laws and regulations applicable at that time and published on the website www.testorro.com. Dioptex GmbH reserves the right to change the commission amount unilaterally if necessary.

11.2 The Testorro Partner shall be entitled to commission once the sale of Testorro to a Testorro Customer has become legally effective, which has been concluded using the order code assigned to the Testorro NFT in the Testorro Partner’s wallet. This is the case at the latest when the goods have been paid for by the customer and the customer has not exercised their right of return within the statutory period provided for this purpose.

11.3 The Testorro Partner shall receive the commission in the form of the cryptocurrency POL to their cryptocurrency wallet or in US dollars to their bank account. Dioptex GmbH reserves the right to change the payment terms at any time.

11.4 The Testorro Partner shall receive the commission for the sale of Testorro as soon as possible after the brokerage transaction becomes legally effective, but no later than 7 Austrian working days after the brokerage transaction becomes legally effective.

11.5 Overlaps between commission payments and changes in ownership of a Testorro NFT, which may arise, for example, if commission payments from transactions brokered by a Testorro Partner are transferred after a change in ownership of the Testorro NFT, shall be handled in such a way that these commission payments are transferred to the new owner, provided that they are already registered as a Testorro Partner, since the customer base associated with the respective Testorro NFT is transferred to the new owner of the Testorro NFT upon sale of the Testorro NFT.

12. Pricing policy and currencies

12.1 Payments between Dioptex GmbH and Testorro Partners who receive referral commissions may be made in certain cryptocurrencies. Payment with cryptocurrency has many advantages, such as a simple payment system that can be used worldwide. However, it also has disadvantages, such as certain exchange rate fluctuations (volatility) between cryptocurrencies and the (state) fiat money used by most people in their daily lives.

12.2 Until further notice, the euro is set as the primary reference currency for pricing and volatility assessment. This means that if the exchange rate of the cryptocurrency against the euro falls outside a certain fluctuation range, commission payments will be based on the euro value of the cryptocurrency at the time the purchase of the beverage becomes legally effective.

13. Place of jurisdiction

13.1 Any disputes between Dioptex GmbH, a Testorro customer, or a Testorro partner shall be settled exclusively by the court with jurisdiction over the location of Dioptex GmbH.

14. Amendments and additions

14.1 Dioptex GmbH reserves the right to make changes and/or additions to its business policy and to publish these on the website www.testorro.com.
